1. Agreement to Terms
By accessing or using the Secure Surplus website (surpluspartsbid.com) and services, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our services.
These Terms apply to all visitors, users, vendors, and others who access or use our platform for buying, selling, or browsing automotive parts.
2. Description of Services
Secure Surplus provides an online marketplace platform that connects sellers (vendors) of automotive parts with potential buyers. Our services include:
- Listing and displaying automotive parts for sale
- Search and discovery tools for finding parts
- Communication tools between buyers and sellers
- Auction functionality for competitive bidding
- AI-powered part identification and categorization
- Bulk upload tools for inventory management
Secure Surplus acts as an intermediary platform and is not a party to any transaction between buyers and sellers.
3. User Accounts
Registration
To access certain features, you must register for an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information as needed
- Keep your account credentials secure and confidential
- Notify us immediately of any unauthorized access
- Accept responsibility for all activities under your account
Account Types
- Customer Accounts: For buyers browsing and purchasing parts
- Vendor Accounts: For sellers listing and managing inventory
- OTP Access: Temporary access codes for specific customers
4. Vendor Terms
As a vendor on Secure Surplus, you agree to:
- List only automotive parts you have the right to sell
- Provide accurate descriptions, pricing, and availability
- Respond to buyer inquiries in a timely manner
- Honor listed prices and terms
- Ship products as described and within stated timeframes
- Comply with all applicable laws and regulations
- Not list counterfeit, stolen, or prohibited items
We reserve the right to remove listings or suspend vendor accounts that violate these terms.
5. Buyer Terms
As a buyer on Secure Surplus, you agree to:
- Provide accurate contact and shipping information
- Complete transactions you initiate in good faith
- Pay for items as agreed with the vendor
- Communicate respectfully with vendors
- Report any issues or disputes promptly
6. Auctions
For auction listings:
- All bids are binding commitments to purchase
- The highest bidder at auction close wins the item
- Bid sniping (last-second bidding) is permitted
- Reserve prices may apply to some auctions
- Vendors may set "Buy It Now" prices
- Bid retractions are only allowed in exceptional circumstances
7. Prohibited Activities
You may not use our platform to:
- Violate any applicable laws or regulations
- Infringe on intellectual property rights
- Transmit malware, viruses, or harmful code
- Attempt to gain unauthorized access to systems
- Engage in fraudulent or deceptive practices
- Harass, abuse, or harm other users
- Scrape or harvest data without permission
- Manipulate pricing, reviews, or search results
- Create multiple accounts to circumvent restrictions
- List prohibited items (weapons, hazardous materials, etc.)
8. Fees and Payments
Secure Surplus may charge fees for certain services:
- Listing fees for vendors (if applicable)
- Transaction fees on completed sales
- Premium features and promotional placements
- Subscription plans for enhanced services
All fees are subject to change with notice. Payments between buyers and sellers are handled directly between parties or through approved payment processors.
9. Intellectual Property
The Secure Surplus platform, including its design, features, content, and technology, is owned by us and protected by intellectual property laws. You may not:
- Copy, modify, or distribute our platform or content
- Use our trademarks without permission
- Reverse engineer or decompile our software
- Remove copyright or proprietary notices
Content you upload (listings, images, descriptions) remains yours, but you grant us a license to display and use it on our platform.
10. Disclaimers
Platform Disclaimer: Secure Surplus is a marketplace platform. We do not own, inspect, or guarantee the quality of listed parts. Transactions are between buyers and sellers.
As-Is Basis: Our services are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement.
Part Condition: Automotive parts may be new, used, or refurbished. Buyers should verify condition and compatibility before purchasing.
11. Limitation of Liability
To the maximum extent permitted by law, Secure Surplus and its affiliates shall not be liable for:
- Indirect, incidental, special, or consequential damages
- Loss of profits, data, or business opportunities
- Damages arising from transactions between users
- Service interruptions or technical issues
- Actions of third parties on the platform
Our total liability shall not exceed the fees you paid to us in the past 12 months.
12. Dispute Resolution
Between Users: Disputes between buyers and sellers should first be resolved directly between the parties. We may provide mediation assistance but are not obligated to do so.
With Secure Surplus: Any disputes with us shall be resolved through binding arbitration, except for claims that may be brought in small claims court. You waive the right to participate in class actions.
13. Termination
We may suspend or terminate your account at any time for:
- Violation of these Terms
- Fraudulent or illegal activity
- Extended inactivity
- At our discretion with notice
You may close your account at any time by contacting us. Termination does not affect obligations incurred before termination.
14. Changes to Terms
We may modify these Terms at any time. We will notify users of material changes by posting the updated Terms and updating the "Last updated" date. Continued use of our services after changes constitutes acceptance of the new Terms.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to conflict of law principles.
